Terms of Service

These Terms of Service govern access to and use of the LaycanMatch website, application, mailbox-processing features, notifications, billing, exports, and related services.

1. Scope of the service

LaycanMatch provides tools for connecting authorized mailboxes, importing selected email folders, extracting cargo and vessel offers, building a searchable offer database, calculating matches, managing saved positions, sending alerts, exporting records, and showing source-email context. The public website also provides product information, contact forms, and support pages.

2. Account registration and access

Users must provide accurate account information and keep credentials secure. Users are responsible for all activity under their account, including connected mailbox access, imported data, notifications, exports, and billing decisions. LaycanMatch may suspend or restrict access where security, abuse, or unpaid billing issues require it.

3. Mailbox permissions and user responsibility

Users may connect only mailboxes and data sources they are authorized to use. By connecting a mailbox, the user confirms that they have the right to grant LaycanMatch access to the selected folders and message content for processing. Users remain responsible for their internal permissions, confidentiality obligations, and legal use of the data they provide.

4. AI extraction and decision support

LaycanMatch is a decision-support tool. It helps users parse and organize broker emails, but it does not guarantee that extracted data is complete, accurate, current, or commercially sufficient for a fixture decision. Users must review results before relying on them. LaycanMatch does not automatically conclude deals, negotiate charter terms, or guarantee commercial outcomes.

5. No automatic broker authority

Unless a feature explicitly states otherwise, LaycanMatch does not act as the user's broker, agent, or legal representative. The user remains fully responsible for outbound communications, confirmations, charter-party decisions, and operational actions based on the information shown in the platform.

6. Acceptable use

Users may not use LaycanMatch for unlawful activity, unauthorized mailbox access, infringement of rights, spam, scraping, malware, disruption of infrastructure, security testing without permission, reverse engineering, or any attempt to misuse third-party data or integrations. Abuse of the service may result in suspension or termination.

7. Billing, subscriptions, and trial

LaycanMatch may offer trial access and paid subscriptions. Trial limits, mailbox limits, user-seat limits, processed-email limits, and feature availability are controlled by the current plan. When a trial or plan allowance is exhausted, certain functions such as mailbox sync or AI extraction may pause until a paid plan is active.

Subscriptions are billed through Stripe or another stated payment provider. Users are responsible for valid payment details, applicable taxes, and any fees connected with their chosen plan. If payment fails or a subscription ends, LaycanMatch may pause or restrict service features until billing is restored.

8. Availability and product changes

LaycanMatch may change features, pricing, limits, integrations, AI providers, layouts, retention rules, and processing logic as the product evolves. We may also interrupt or suspend portions of the service for maintenance, security, technical migration, or third-party dependency issues. We do not promise uninterrupted uptime or universal compatibility with every mailbox environment.

9. Data, exports, and retention

Users retain responsibility for the underlying operational data they connect or submit. LaycanMatch may store imported emails, extracted records, logs, audit history, and billing records as needed to operate the service, secure accounts, provide support, and satisfy legal or billing requirements. Users should export or maintain any records they consider business-critical.

10. Intellectual property

The LaycanMatch website, application, branding, interface, copy, code, graphics, product structure, and service design are protected by applicable intellectual-property rights. Except as allowed by law or written permission, users may not reproduce, resell, sublicense, copy, or create derivative commercial products from the service or its materials.

11. Disclaimer of warranties

LaycanMatch is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, LaycanMatch disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. Email parsing, matching, and AI-generated results can contain mistakes, omissions, or outdated interpretations.

12. Limitation of liability

To the fullest extent permitted by law, LaycanMatch is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from use of the website or service, including missed fixtures, incorrect matches, data loss, delayed alerts, mailbox configuration issues, third-party outages, or reliance on extracted content. The user's sole remedy is to stop using the service.

13. Termination

Users may stop using LaycanMatch at any time. LaycanMatch may suspend or terminate access where required by security, abuse prevention, legal compliance, or unpaid billing. Termination does not remove obligations that by nature should survive, including payment obligations, rights protections, disclaimers, and liability limits.

14. Governing law and contact
